This license agreement ("License Agreement") is a legal agreement between you and Brent's Live New Year’s Show and Live Comedy Show ("Brent's Show").
VIEWER REQUIREMENTS: The Show is a live streaming internet broadcast. Viewers are allowed to connect only by accessing the content through the initial index page: www.brentslivenewyears.com which contains an explanation of the viewer requirements. Viewers must meet minimal age, consent and location requirements. Qualifying viewers must specifically agree to receive Brent's Show before permission is given to access the data stream. If you do not agree to (or cannot comply with) the terms and conditions of this License Agreement, do not view Brent's Show.
CONTENT WARNINGS: Minors may not view Brent's Show. Brent's Show should not be viewed by adults offended by the following: coarse language, profanity, adult themes, the apparent misuse of alcohol beverages, brief nudity, and potentially offensive political and social commentary. You must be an adult in the jurisdiction from which you are connecting to Brent's Show. If the laws of your jurisdiction do not permit you to receive such content, then you may not view Brent's Show. If multiple persons are viewing Brent's Show together, each person must individually meet the age and consent requirements listed herein and must individually agree to all of the terms and conditions before viewing Brent's Show.
LICENSE: An Individual license to view Brent's Show subject to the terms and conditions hereof is granted to persons individually agreeing to requirements precedent for viewing Brent's Show. This license grants you a limited, nonexclusive, nontransferable, nonassignable right to view Brent's Show, on a single computer solely as an end viewer.
RESTRICTIONS: Brent's Show contains copyrighted material and is either the exclusive intellectual property of Brent's Show or is the property of another. The intellectual property of third parties used by Brent's Show is used either as a “parody” of the original work (e.g. Mattel Inc. v. Walking Mountain Productions, 353 F.3d 792 (9th Cir. 2003), or is a fragment of a larger work, provided by the Show for the purpose of providing social commentary (e.g. Time Inc. v. Bernard Geis Assocs., 293 F. Supp. 130 (S.D.N.Y. 1968).
In addition to the restrictions contained herein, you agree you will not: (i) rent, lease, lend, sell, copy, or distribute any copy of Brent's Show in part or in its entirety.
MIRRORING: Brent's Show may allow, in its discretion, the full, unedited data live stream to be mirrored (such as through a content delivery network “CDN”). Such mirroring must occur simultaneously with the live broadcast. Any mirror must include the full age, location and consent, viewer restrictions exactly as provided at http://www.brentslivenewyears.com prior to allowing mirrored end viewers to connect to the data stream. If these conditions are not exactly met, Brent's Show expressly denies the right for any 3rd party to mirror the live content provided on Brent's Show.
INDEMNITY: You acknowledge and agree that any unauthorized viewing of Brent's Show will be the legal responsibility of the end viewer, person, or entity providing Brent's Show. You agree to indemnify and to make whole, Brent's Show for any damages incurred, either criminal or civil, caused by your breach of this agreement. This indemnity shall include reasonable attorneys’ fees and lost profits. Any cause of action against Brent's Show must be brought in the State of Washington.
Brent's Show shall retain the right to immediate injunctive relief to prevent any unauthorized use or copying of Brent's Show. However, this right does not create a legal obligation for Brent's Show.
WARRANTIES: Brent's Show is provided “as is” and without any guarantee or warranty that the end viewer will be able to connect to the data stream or that the data stream will be continuous. Brent's Show makes no express warranties or guarantees of fitness for any purpose. You agree to connect to Brent's Show at your own risk. Experienced streaming video professionals maintain Brent's Show data stream. However, Brent's Show does not guarantee that the data stream will be error free or that it will work without damage on your particular system. Brent's Show disclaims responsibility for any deliberate, reckless or negligent acts of any person. Brent's Show shall not be responsible for any consequential, incidental or special damages. This includes any damages, foreseeable or not, to profits, information or equipment. This disclaimer applies whether or not the claimed damage is caused by Brent's Show.
